1. About These Terms

QHT Elite Trades Pty Ltd (ABN 95 703 576 792) (“we”, “us”, “our”) provides professional business and consulting services to clients across Melbourne VIC and greater Victoria. These Terms of Service (“Terms”) apply to all services we provide, including advice given in person, in writing, by email or through this website at https://qhtelitetrades.online.

If there is any inconsistency between these Terms and a signed engagement agreement or written proposal accepted by both parties, the engagement agreement will prevail to the extent of the inconsistency.

2. Our Services

We provide professional business and consulting services, which may include business strategy and advisory, operational review and improvement, compliance and process documentation, and related consultancy support. The specific scope, deliverables, timelines and fees for each engagement will be set out in a written proposal, statement of work or quote provided to you before work commences.

Any general information published on this website is provided for information purposes only and does not constitute formal advice. Formal advice is only provided under an engaged and accepted scope of work.

3. Quotes, Engagements and Variations

All quotes issued by us are valid for 30 days from the date of issue unless otherwise stated in writing. A quote is an estimate of the fees required to complete the agreed scope of work. Acceptance of a quote may be made in writing or by email, and commencement of work by us following your instructions will also constitute acceptance of the quoted scope and fees.

If you request changes to the agreed scope, we will provide a written variation. Additional fees may apply for out-of-scope work, and we will seek your approval before proceeding with any variation that attracts additional cost.

4. Fees, Invoicing and Payment

Fees are payable in accordance with the payment terms stated on our invoice, which is typically due within 14 days of the invoice date. We may require a deposit or progress payments for larger engagements. Invoices are issued in Australian dollars (AUD) and include GST where applicable.

If an invoice remains unpaid beyond its due date, we reserve the right to suspend work, charge interest on overdue amounts at the rate prescribed under the Penalty Interest Rates Act 1983 (Vic), and recover reasonable costs of debt recovery.

5. Client Obligations

To enable us to deliver our services effectively, you agree to provide timely access to accurate and complete information, records and personnel reasonably required for the engagement. We rely on the accuracy of the information you provide, and we accept no responsibility for losses arising from incomplete, inaccurate or misleading information supplied by you or on your behalf.

6. Australian Consumer Law Guarantees

Nothing in these Terms excludes, restricts or modifies any rights or remedies you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable Australian law that cannot be excluded or modified by agreement.

Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For services, you are entitled to a remedy if the services are not of the kind, standard or quality reasonably expected, or are not provided with due care and skill, or are unreasonably delayed.

7. Limitation of Liability

To the fullest extent permitted by law, our liability arising out of or in connection with the services is limited, at our option, to the supplying of the services again or the payment of the cost of having the services supplied again. Subject to the Australian Consumer Law, we are not liable for any indirect, incidental, special or consequential loss, including loss of profits, revenue or business opportunity.

Our total aggregate liability under any engagement is limited to the fees paid by you for the relevant services under that engagement.

8. Intellectual Property

All intellectual property in our methodologies, templates, frameworks, working papers and pre-existing materials remains our property or the property of our licensors. Upon full payment of our fees, you are granted a perpetual, non-exclusive, non-transferable licence to use the deliverables prepared specifically for your engagement for your internal business purposes.

9. Confidentiality

We treat the information you provide to us in connection with an engagement as confidential. We will not disclose your confidential information to any third party without your prior written consent, except where disclosure is required by law, by a regulatory authority, or to professional advisers bound by confidentiality obligations.

10. Privacy

We handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth). Please review our Privacy Policy for details on how we collect, use and store personal information.

11. Termination

Either party may terminate an engagement by giving at least 14 days’ written notice. If an engagement is terminated by you other than due to our breach, fees for work performed up to the date of termination, together with any non-cancellable costs, remain payable. Clauses concerning liability, intellectual property, confidentiality and governing law survive termination.

12. Force Majeure

We are not liable for any delay or failure to perform our obligations where that delay or failure is caused by events beyond our reasonable control, including natural disasters, pandemics, industrial action, utility failures or changes in government policy or regulation.

13. Governing Law

These Terms are governed by the laws of Victoria, Australia, and the parties submit to the exclusive jurisdiction of the courts of Victoria. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.

14. Changes to These Terms

We may update these Terms from time to time. The current version published on this page applies to all engagements commenced after the date of the update. Material changes affecting an existing engagement will be communicated to you in writing.
